BLACK IRON BARNS COMPANY LLC
TERMS & SERVICE AGREEMENT
(For Barn Package Customers – Materials & Design Only)
1. Parties
● Seller (“Company”): Black Iron Barns Company LLC (“Black Iron Barns,” “we,” “our,” “us”).
● Buyer (“Customer”): The individual or entity purchasing a barn package, as identified on the accompanying
Quote or Invoice.
2. Scope of Supply
1. Barn Package Contents. The Company supplies:
○ Pre-engineered design drawings, installation diagrams, applicable manuals and specifications.
○ Materials listed in the Quote/Invoice (e.g., trusses, treated posts, purlins, roofing, siding, fasteners,
and specified accessories).
2. Exclusions. The Company does not provide:
○ On-site installation or labor.
○ Tools, equipment, concrete, or site preparation.
○ Building permits, code inspections, or governmental approvals.
3. Ordering & Payment
1. Deposit. A non-refundable deposit (percentage stated on the Quote) is due upon order acceptance. If
additional design is required, a separate deposit will be required for the design process. Design deposits
typically precede the deposit for the building package.
2. Balance. The remaining balance is due prior to shipment, unless otherwise agreed in writing.
3. Changes & Cancellations. Design changes requested after deposit may incur additional charges and extend
lead times. Orders cancelled after fabrication begins forfeit the deposit and may incur material restocking
fees.
4. Delivery & Risk of Loss
1. Shipment. Materials ship FOB Origin (Company’s facility or designated supplier). Freight charges and
transit insurance are the Customer’s responsibility unless otherwise indicated.
2. Risk Transfer. Title and risk of loss transfer to the Customer upon carrier pick-up. The Customer must
inspect deliveries for damage or shortages and note any issues on the carrier’s bill of lading at delivery.
5. Installation & Certified Installers
1. Independent Contractors. Installation is performed by the Customer or by installers the Customer selects.
Installers identified as “Black Iron Barns Certified Installers” are independent contractors, not employees,
agents, or partners of the Company.

2. No Installation Liability. The Company assumes no responsibility or liability for workmanship, labor errors,
job-site safety, construction means, methods, or building code compliance. Any claims related to
installation defects must be handled directly between the Customer and the installer.
6. Warranties
1. Materials Warranty. The Company passes through—and will enforce on the Customer’s behalf—all
manufacturer warranties applicable to supplied materials (e.g., steel truss structural warranty, panel finish
warranty). Warranty terms, durations, and exclusions follow each manufacturer’s written policy.
2. Design Guarantee. The Company guarantees that design drawings are produced by licensed professionals
(where required) and meet the load criteria stated on the drawings if constructed exactly per the plans
with specified materials.
3. Warranty Exclusions. Warranties are void if:
○ Materials are modified, improperly stored, or installed contrary to drawings or manufacturer
instructions.
○ The building experiences misuse, neglect, or acts of God (e.g., wind, flood, fire, seismic events)
beyond specified load criteria.
4. Remedy. The Company’s sole obligation—and Customer’s exclusive remedy—under any warranty is repair
or replacement of defective materials or revision of design documents, at the Company’s option.
7. Limitation of Liability
1. Consequential Damages. In no event shall the Company be liable for incidental, indirect, special, punitive, or
consequential damages (including lost profits, business interruption, or loss of use).
2. Liability Cap. The total aggregate liability of the Company arising out of or related to this Agreement shall
not exceed the amount paid by the Customer for the barn package giving rise to the claim.
8. Customer Responsibilities
● Obtain and comply with all permits, zoning, and code requirements.
● Provide level, accessible site conditions for delivery.
● Verify that foundation design and soil conditions are adequate for the structure.
● Ensure installers follow plans, specifications, and safety regulations.
● Ensure equipment and personnel are onsite and available to unload when barn package arrives.
9. Force Majeure
The Company is not liable for delays or failure to perform caused by events beyond its reasonable control,
including but not limited to shortages, strikes, shipping disruptions, extreme weather, or governmental actions.
10. Dispute Resolution & Governing Law
● Governing Law: Laws of the State of Georgia, without regard to conflict-of-law rules.
● Venue: State or federal courts located in Bulloch County, Georgia USA, have exclusive jurisdiction.
● Attorneys’ Fees: Prevailing party in any action shall be entitled to reasonable attorneys’ fees and costs.

11. Entire Agreement & Amendments
This Agreement, together with the Quote/Invoice and any signed change orders, constitutes the entire agreement
between the parties and supersedes all prior discussions. Amendments must be in writing and signed by both
parties.
12. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
13. Miscellaneous
1. INTELLECTUAL PROPERTY & DESIGN RIGHTS:
All designs, construction details, CAD files, renderings, and manuals provided to the Customer are proprietary and
protected by the Design and Intellectual Property Agreement. Customers may not reproduce, distribute, or reuse
designs without written consent from Black Iron Barns LLC.
2. COMMUNICATION & CUSTOM REQUESTS:
When Customers require a custom design or variation beyond standard packages, they are to use the Contact Us
form. This triggers a structured intake process handled by a Barn Manager, leading to design sessions and custom
planning if pursued.
3. PHOTOGRAPHY & MARKETING RELEASE (if applicable):
Customers may be asked to sign a Photo Release Form authorizing the Company to use images of completed
projects in marketing material.
4. CERTIFICATION & FINAL REVIEW:
Customers seeking a Black Iron Build Certification must submit a completion checklist, photographs, and any
verification requested by Black Iron Barns. Certified builds may be eligible for additional recognition or benefits.
